Terms of use of the site

Version of February 10, 2025, effective date: February 17, 2025.
1. Subject.
GoGoBag LIMITED LIABILITY COMPANY has created a parcel delivery announcement platform available on the website at https://gogobag.eu and/or in the GoGoBag mobile application available in online application stores such as AppStore, Google Play and others, and/or in the GoGoBag Telegram bot (hereinafter referred to as the "Platform"). The platform is operated by GoGoBag LIMITED LIABILITY COMPANY (hereinafter referred to as "GoGoBag"). The purpose of the Platform is (i) to provide Carriers traveling in a certain direction with the opportunity to establish communication with individuals (senders) who wish to transfer a parcel in the same direction for the delivery of this parcel and, accordingly, reduce the costs associated with the shipment, (ii) to provide an opportunity to search for, access information about the possibilities of parcel delivery published by professional Logistics companies providing services for the shipment and delivery of parcels. These Terms of Use are designed to regulate the access to and use of the Platform. Please read them carefully. Additional terms and conditions may apply to certain services on the Platform, such as those relating to a specific event, activity or promotion, and such additional terms and conditions will be disclosed in due course. If you use your Account to log in to a GoGoBag Platform in another country, please note that (i) the terms and conditions of that platform, (ii) the privacy policy of that platform, and (iii) the legal rules and regulations of that country will apply. This also means that your Account information, including personal data, may have to be transferred to the legal entity operating that other platform. You understand and acknowledge that GoGoBag is not a party to any agreements, arrangements and contractual relations that may arise between the Participants of the Platform. By registering on the Platform by clicking on the "Sign in with Facebook" or "Sign in with email" button and entering the information requested for registration, you confirm that you have read these Terms of Use and accept their provisions. By doing so, you also realize that in accordance with the laws of Ukraine, your acceptance of these Terms of Use means the conclusion of an electronic contract between GoGoBag and you with the terms and conditions set forth in these Terms of Use. You also understand and acknowledge that GoGoBag is not a party to any agreement, contract or contractual relationship of any kind concluded by the Participants of this Platform with each other.
2. Definition.
In this document: "Parcel Delivery Announcement" means an announcement about the Trip and the possibility of parcel delivery published by the Carrier on the Platform; "Application" means the fact of the Sender's agreement with the terms of the Parcel Delivery Announcement and the order of the Sender or his authorized person to deliver the Parcel using the Carrier's services, duly executed using the Platform. "GoGoBag" has the meaning set forth in Article 1 above; "Terms of Use" means these terms of use; "Account" means an account created in order to become a Member and have access to certain services offered on the Platform; "Facebook or Google Account" has the meaning specified in Article 3.2. below; "Logistics Company" is a company that provides professional parcel transportation and delivery services; "Carrier" means a Member who uses the Platform to place offers to deliver parcels to other persons during a private Trip in the direction of travel, the time of which is independently determined by the Carrier, in exchange for the Sender's Contribution to cover the costs of the Trip; "Parcel Delivery" means the movement of the parcel provided by the Sender to the place specified by him and its delivery to a certain person - the Recipient. "Recipient" means a person designated by the Sender as having the right to receive the transferred parcel. "Booking Confirmation" has the meaning specified in Article 4.2.1. below; "Parcel delivery service fee" has the meaning specified in clause 5.1.2 below; "Member Content" has the meaning set forth in Article 11.2 below; "Member" means any person who has created an account on the Platform; "Sender" means the Member who has accepted the Carrier's offer to deliver the parcel. The "Cost Coverage Contribution" for a particular Shipment means the amount requested by the Carrier and accepted by the Sender to cover the costs of the parcel delivery; "Place" means a place in the Carrier's vehicle reserved by the Sender for sending the parcel. The dimensions of the place for sending the parcel may be additionally agreed upon by the Carrier and the Sender; "Platform" has the meaning set forth in Article 1 above; "Reservation" has the meaning specified in Article 4.2.1. below; "Services" means all information and other services provided by GoGoBag through the Platform; "Parcel" (shipment) means cargo, documents or other property (things) specified by the Sender and transferred by him to the Recipient. "Website" means the website available at https://gogobag.eu.
3. Registering on the Platform and creating an Account
3.1. Terms of registration on the Platform The platform is intended for use by users over the age of 18 (eighteen), but in some cases, persons under the age of 18 (eighteen) may be senders or recipients of parcels, only with the consent and under the supervision of parents (one of the parents with whom such person lives or is his/her legal guardian) and in accordance with the norms and restrictions of the current legislation of Ukraine. Responsibility for compliance with the norms and restrictions of the current legislation of Ukraine regarding consent and supervision of any actions on the website or in the mobile application lies with the parents (one of the parents with whom such person lives or is his/her legal guardian) of a person under the age of 18 (eighteen). 3.2. Creating an Account The Platform allows Members to post and view Ads and interact with Carriers and Logistics Companies to book a Seat. You can view Ads if you are not registered on the Platform. However, you cannot place an Ad or book a Space unless you have created an Account and become a Member of the Platform. To create an Account, you can: (i) fill in all required fields in the registration form, or (ii) sign in to your Facebook or Google account through our Platform (hereinafter referred to as "Facebook or Google Account"). By using this feature, you understand that GoGoBag will access certain information from your Facebook or Google Account, publish such information on the Platform, and store it. You can cancel the connection between your Account and your Facebook or Google account. If you want to know more about the use of information from your Facebook or Google account, please read our Privacy Policy as well as the Facebook/Google privacy policy. To register on the Platform, you must read and accept these Terms of Use and Privacy Policy. In order to ensure that the information is up-to-date and accurate during the term of the contractual relationship with GoGoBag, when registering your Account, regardless of the method chosen, you agree to provide accurate and reliable information and update it through your profile or by notifying GoGoBag. In case of registration via e-mail, you agree to keep the password chosen during the creation of your Account confidential and not to disclose it to anyone. If you lose or disclose your password, you must notify GoGoBag immediately. You are solely responsible for the use of your Account by third parties unless you notify GoGoBag of the loss of your password, its fraudulent use by a third party, or its disclosure to a third party. You agree not to create or use your personal data or the personal data of a third party to create other Accounts other than the one you originally created. 3.3 Verification GoGoBag has the right (but not the obligation) to establish a system to verify (check) some of the information you provide in your profile for transparency, to increase trust, or to prevent or detect fraud. Such verification occurs, in particular, when you enter your phone number or provide us with an identity document. You acknowledge and agree that any reference on the Platform or during the provision of the Services to "verified" information about Members, or other similar term, means only that the Member has successfully passed the verification procedure applied on the Platform or during the provision of the Services in order to provide you with more information about such Member with whom you are considering the delivery of a parcel. The fact that GoGoBag does not prevent you from posting Ads cannot be construed as an endorsement of the accuracy of the information you provide by default. GoGoBag cannot guarantee the accuracy, reliability or validity of the information subject to the verification procedure.
4. Use of the Services
4.1 Placement of Announcements Subject to the conditions below, you, as a Member, may create and publish Ads on the Platform by entering information about the Trip you intend to make (date/time, pick-up and arrival points, number of offered Seats, possible Trip options, amount of the Cost Contribution, etc.). When placing an Ad, you can specify the main cities where you are willing to stop and pick up parcels. You may post an Ad only if you comply with the following terms and conditions: (i) you have a valid driver's license; (ii) you are offering Ads in respect of vehicles that you own or have the express permission of the owner, and in any case you are authorized to use the vehicle for road travel in accordance with the rules of these Terms of Use; (iii) you are and remain the principal Carrier of the vehicle specified in the Announcement; (iv) the vehicle is insured against liability to third parties; (v) you have no contraindications or medical conditions that prevent you from driving; (vi) the vehicle you intend to use for the Trip is a "B", "C" or "D" category vehicle; (vii) you do not intend to post another ad for the same Trip on the Platform; (viii) you do not intend to offer more Seats than the number available in your vehicle, subject to the limits set on the Platform on the date of publication of the Trip; (ix) use the vehicle in proper working condition that meets all legal requirements. You acknowledge that you are solely responsible for the content of the Ad you post on the Platform. Accordingly, you represent and warrant that all information contained in your Ad is accurate and true, and you undertake to make the Trip in accordance with the terms and conditions specified in the Ad. Upon submission of your Ad that complies with the Terms of Use, it will be posted on the Platform and therefore visible to Members and all users, including non-Members, who search the Platform or GoGoBag's partner websites. GoGoBag reserves the right, in its sole discretion and without notice, to refuse to post or remove at any time any Ad that does not comply with the Terms of Use or that is deemed to be detrimental to the image of the Platform or the Services. You acknowledge and agree that the criteria used to classify and determine the order in which your Ad is displayed among other Ads is determined in GoGoBag's sole discretion. 4.2. Booking a place The methods of booking a place depend on the type of planned parcel delivery. 4.2.1. Booking a parcel delivery GoGoBag has created a system of online booking of Spaces (hereinafter referred to as "Booking") for the delivery of parcels published by Carriers on the Platform. When the Sender is interested in an Ad with a Booking option, he/she may send an online Booking request. In the process of booking, the Sender must pay the Delivery Service Fee in accordance with the procedure provided for in section 5.1.2 of these Terms of Use, if any. Upon payment of the Delivery Service Fee and acceptance of the Booking request by the Carrier, if applicable, the Sender shall receive a confirmation (hereinafter referred to as "Confirmed Bookings"). At the time of Booking Confirmation, GoGoBag sends you the phone number of the Carrier (if you are the Consignor) or the Shipper (if you are the Carrier). After that, you are fully responsible for the fulfillment of the contract binding you to the other Member. 4.2.2. Delivery without reservation In the absence of Ads posted by Carriers, GoGoBag offers a service that provides the Sender with the ability to search through the Platform for delivery information from Logistics Companies to deliver the parcel using their services. You realize that GoGoBag is not a Logistics Company. Your relationship with the parcel delivery service is governed by the agreement between you and the Logistics Company, the terms of which are set forth by the Logistics Company itself. Issues related to the organization of parcel delivery and performance of the contract are the sole responsibility of the Logistics Company and should be resolved directly with the Logistics Company. GoGoBag is not part of any agreement between you and the Logistics Company. The ads of the Logistics Companies' parcel delivery services use the information provided by the Logistics Companies themselves. GoGoBag is not responsible for the relevance of the information provided by the Logistics Companies. 4.2.3 Name of the Seat Reservation and conditions for using the Services on behalf of a third party Any use of the Services as a Sender or Carrier is associated with a specific name. The identities of the Carrier and the Sender must match the data provided by GoGoBag, Logistics Companies (where applicable) and other Participants involved in the parcel delivery. You are not allowed to post Ads on behalf of a Carrier other than yourself. 4.3. Feedback system 4.3.1. Leave a review GoGoBag encourages you to leave feedback about the Carriers (if you are a Shipper) or about the Senders (if you are a Carrier) with whom you have communicated during the parcel delivery process. 4.3.2. Moderation You acknowledge and agree that GoGoBag reserves the right not to publish or remove any review, question, comment or response if it deems it to be in violation of these Terms of Service. 4.3.3 Restrictions GoGoBag reserves the right to block your Account, restrict your access to the Services, or terminate these Terms of Use.
5. Financial terms and conditions
Access to and registration on the Platform, as well as searching and viewing Ads and posting Parcel Delivery Ads is free of charge. However, GoGoBag has the right to charge service fees (payment for the information services provided) in the manner specified below. 5.1. Delivery of parcels 5.1.1 Contribution to cover costs The contribution to cover the costs is determined by you as the Carrier under your sole responsibility. It is strictly forbidden to profit in any way by using our Platform. Accordingly, you agree to limit the Cost Contribution that you request from your Senders to the amount necessary for you to make the Trip. Otherwise, you bear the risk of a change in the qualification of the transaction made through the Platform. When you post a Listing, GoGoBag may suggest (but is not obliged to) the amount of the Cost Contribution, which takes into account, among other things, the specifics of the Trip and the distance to be traveled. The suggested amount is provided as a guideline only and you may increase or decrease it according to the actual costs of the Trip. In order to avoid abuse, GoGoBag may limit the possibility of changing the Cost Contribution. 5.1.2 Service fee for parcel delivery. GoGoBag may charge the Sender a service fee for the use of the Platform services, namely for information services regarding access to the GoGoBag Platform, which allows the Sender to book the parcel delivery and establish communication with the Carrier (hereinafter referred to as the "Parcel Delivery Service Fee"). To calculate the amount of the Parcel Delivery Service Fee, GoGoBag uses a pricing mechanism based on an algorithm that takes into account the amount of the Cost Coverage Contribution. GoGoBag reserves the right to change the methods of calculating the Parcel Delivery Service Fee at any time. Such changes will not affect those Parcel Delivery Service Fees (if any) that have been accepted and/or paid by the Senders prior to the effective date of such changes. GoGoBag has the right, at its absolute discretion, not to charge the Parcel Delivery Service Fee, to reduce the amount of the Parcel Delivery Service Fee, to conduct incentive programs, including the provision of discounts, promotional codes and bonuses related to the Services in accordance with GoGoBag's internal policy. Payment of the Parcel Delivery Service Fee is made online. To pay the Service Fee for parcel delivery, you will be redirected from the Platform to the website of a third party payment service provider that is a partner of GoGoBag. The payment service provider's website uses its own privacy policy and user agreement. GoGoBag is not responsible for the content and actions taken on such a website. Before using the payment service provider's website, GoGoBag recommends that you read the privacy policy and user agreement provided on such website. 5.1.3 Rounding of the Contribution amount You acknowledge and agree that GoGoBag may, at its sole discretion, round up or down the amount of the Cost Contribution. 5.1.4 Payment of the Cost Contribution to the Carrier The Shipper undertakes to pay the Cost Contribution to the Carrier no later than the point of delivery of his parcel. In case of mutual consent and agreement between the parties, the obligation of the Sender to pay the Cost Contribution to the Carrier may be imposed on the Recipient at the point of delivery of the parcel. The Carrier is obliged not to demand any payment of the Cost Contribution in full or in part before the start of the Trip and the actual transfer of the parcel to it. With the help of the additional functionality of the Platform, the Sender can use the "Secure Transaction" service. In this case, the Shipper pays the Cost Coverage Fee to the Carrier online on the website of a third party payment service provider that is a partner of GoGoBag. In such a case, the Fee to cover the Carrier's costs is charged from the Sender at the time of booking the parcel delivery, but is not paid to the Carrier immediately, but only after the successful delivery of the parcel, which is confirmed by the additional functionality of the Platform. By using the Secure Transaction service, Participants agree to transfer their financial data (payment card information, bank account number, individual tax number, etc.) to GoGoBag and/or a third party payment service provider that is a partner of GoGoBag and agree to the Contribution Payment in such a manner and on such terms. In case of cancellation of the trip due to the Carrier's fault or the absence of the fact of successful delivery of the parcel, the collected Deposit to cover the Carrier's expenses shall be returned to the Sender in full within the terms specified in clause 7.1 of these terms and conditions. 5.2. Logistics companies 5.2.1 Cost of services of logistics companies The amount and procedure for payment of the parcel delivery cost shall be governed by the terms and conditions of the respective Logistics Company and may be indicated on the Platform. The cost of the services of Logistics Companies consists of the Logistics Company's tariff, applicable taxes and fees (including the Delivery Service Fee, if any). Parcel delivery prices may be changed by the Logistics Companies or GoGoBag on behalf of the Logistics Companies. The Platform may display promotions or special offers for parcel delivery services. Additional terms and conditions may apply to such promotions and offers. 5.2.2 Service fee for the services of Logistics Companies GoGoBag does not charge a Service Fee for providing information on parcel delivery services by Logistics Companies. You are solely responsible for paying all applicable bank fees and transaction charges imposed by your card issuing bank.
6. Non-commercial purpose of the Services and the Platform
You agree to use the Services and the Platform only to contact people who want to deliver a parcel on a non-commercial and non-business basis. As a Carrier, you agree not to request a Cost Contribution in excess of the amount you actually incurred and which may be profitable, provided that in the case of cost sharing, you as a Carrier are obliged to cover your share of the costs necessary for the Trip. You are solely responsible for calculating the costs incurred in connection with the Trip and ensuring that the amount requested from the Sender does not exceed the actual costs incurred (less your share), including tax, if applicable. If the Carrier makes a profit in the course of the Trip concluded using the Platform, this is subject to appropriate regulation, including the obligation to be registered as a person engaged in business activities, pay the relevant taxes, have the necessary permits/licenses, and the Carrier is solely responsible for non-compliance with the law, in particular in terms of cargo transportation and payment of taxes. GoGoBag reserves the right to block your Account in case you use a vehicle with a personal Carrier or other vehicle for business travel, or a taxi, or a company vehicle, or other vehicle that can be equated to commercial vehicles, and thereby generate revenue from the Platform. In response to a simple request from GoGoBag, you agree to provide GoGoBag with a copy of your vehicle registration document and/or other document that certifies your authority to use this vehicle within the Platform without the purpose of making a profit from such use. GoGoBag also reserves the right to block your Account, limit your use of the Services, or terminate these Terms of Use in the event that you conduct activities through the Platform that, taking into account the specifics of the Trips implemented, their frequency, the number of parcels transported, and the Cost Coverage Contribution requested by you, indicate that you are making a profit, or for any reason gives GoGoBag reason to believe that you are making a profit from using the Platform.
7. Cancellation.
In the event that the Sender cancels the delivery of the parcel before departure, the Space(s) that have been reserved automatically become available to other Senders who can book them online and, accordingly, are subject to the terms of these Terms of Use. 7.1 Parcel delivery by the Carrier In case of cancellation of the Booking due to the initiative or fault of the Carrier, the Service Fee for parcel delivery shall be refunded to the Sender in full. In particular, this provision applies if: (i) the Carrier has not confirmed the Booking Request within its validity period or has rejected such a Request. (ii) the Carrier has canceled the Trip before it starts on its own initiative or the Sender has been forced to cancel the reservation due to the fault of the Carrier, or (iii) the trip did not take place due to the fault of the Carrier. In case of cancellation at the initiative of the Sender, GoGoBag will charge a service fee. If you have any questions regarding the refund of the Parcel Delivery Service Fee, you can contact us via the contact information on the website. The method of refund of the Parcel Delivery Service Fee depends on the method used to pay the Service Fee, and the period of refund of the Parcel Delivery Service Fee depends on the terms of transfers made by banking organizations and the payment service provider, but cannot exceed 30 days. GoGoBag has the right, but not the obligation, at its discretion, to refund the Parcel Delivery Service Fee to Senders in other cases and in other amounts in accordance with GoGoBag's internal policy. 7.2 Logistics companies The procedure for canceling deliveries by Logistics Companies is governed exclusively by the terms and conditions of the Logistics Company and may be indicated on the Platform when making a reservation.
8. Activities of the Platform Users and Participants
8.1. Obligations of all users of the Platform You acknowledge that you are solely responsible for complying with the laws applicable to your use of the Platform. Moreover, by using the Platform and during the Trips, you undertake to: (i) not to use the Platform for professional, commercial or other purposes related to the purpose of making a profit; (ii) not to submit any false, misleading, malicious, or fraudulent information to GoGoBag (especially when creating or updating your Account) or other Members; (iii) not to talk or behave in any way or publish content on the Platform that contains defamatory, harmful, obscene, pornographic, vulgar, offensive, aggressive, unsolicited, violent, racist or xenophobic information, or information with sexual overtones, information that incites violence, discrimination or hatred, that encourages the use of illegal substances, or more generally, that contradicts the purpose of the Platform, that may violate the rights of GoGoBag or a third party, or that is contrary to the rules of morality; (iv) not to violate the rights and image of GoGoBag, including intellectual property rights; (v) not to create more than one Account on the Platform and not to create an Account in the name of a third party; (vi) not to attempt to circumvent the online booking system on the Platform, especially by trying to send your contact information to another Member in order to make a booking outside the Platform or to avoid paying Service Fees; (vii) not to contact another Member, in particular through the Platform, for any other purpose that is not aimed at agreeing on the terms of delivery; (viii) not to accept or make payments to the Carrier outside the Platform, except for the payment of the deposit amount before expenses; (vix) comply with the Terms of Use and Privacy Policy; (vx) to fulfill the agreement on the delivery of the parcel stipulated in the announcement. 8.2. Obligations of the Carrier Moreover, if you use the Platform as a Carrier, you are obliged to: (i) comply with the legal requirements applicable to the relations related to driving a vehicle, in particular, have civil liability insurance at the time of the Trip and hold a valid driver's license; (ii) have vehicle insurance; (iii) not to create any risk while driving, not to take any means that may reduce your attention and impair your ability to drive attentively and safely; (iv) publish Ads only in relation to actually scheduled Trips; (v) to carry out the Trip as described in the Announcement (especially with regard to the use or non-use of highways) and in accordance with the time and place agreed with the other Participants (in particular, the place of receipt and the place of delivery of the parcel); (vi) not to collect parcels in excess of the number of Places specified in the Announcement; (vii) use the vehicle in proper technical condition that meets the requirements of the law; (viii) provide, upon request of GoGoBag and any Sender: your driver's license, your vehicle registration document, certificate of insurance, and any other document certifying your authority to use the vehicle as a Carrier on the Platform; (ix) in the event of a delay or change in the time of the Trip, notify the Sender without delay; (x) in the case of a Trip involving a border crossing, have available for any authorized body that may request it any document proving your identity and your right to cross the border; (xi) wait for the Sender at the agreed meeting place for at least 15 minutes after the agreed time; (xii) not to post Ads relating to a vehicle that you do not own or have the right to share the vehicle with; (xiii) to enable the Sender and the Recipient to contact you at the phone number specified in your profile; (xiv) not to make any profit through the Platform; (xv) not have any contraindications or medical reservations to drive; (xvi) not to refuse any Booking on the grounds of national origin, religious beliefs, sexual orientation, marital status, disability, appearance, pregnancy, special vulnerability due to economic situation, name, place of residence, health status, political opinion, age; (xvii) wait for the Recipient at the agreed place of parcel delivery for at least 15 minutes after the agreed time; (xviii) deliver the parcel to the Recipient and hand it over in the same condition as it was received from the Sender; (xix) in case of damage or loss of the parcel due to the fault of the Carrier, compensate the estimated value of the parcel to the Sender in full (but not more than the actual cost of the shipment) within the framework of the current legislation of Ukraine. In the event of any dispute regarding the damage or loss of the Parcel, the estimated value must be confirmed by the Sender with the relevant documents for the items that were in the parcel and were damaged or lost (checks, invoices, invoices, etc.). A complaint about damage to a parcel can be considered only if it is visually damaged during transportation. Complaints about other causes of damage will not be accepted or considered. 8.3. Obligations of the Sender 8.3.1 In case of sending a parcel When you use the Platform as a Sender, you are obligated to: (i) notify the Carrier of the contents of the parcel, its dimensions, weight, estimated value, place of delivery, identity and contact details of the Recipient; (ii) not to send any items prohibited for crossing the border, or an excessive amount of items than is legally allowed to be transported across the border; (iii) in case of delay, immediately notify the Carrier thereof; (iv) pay the agreed Cost Contribution to the Carrier or indicate the Recipient's person responsible for paying the Cost Contribution; (v) wait for the Carrier at the meeting place for at least 15 minutes after the agreed time; (vi) provide, upon request of GoGoBag or any Carrier, your identification card or document proving your identity; (vii) not to ship any items, goods, substances or animals that may interfere with the management and concentration of the Carrier, or if such items, their possession and transportation are in violation of applicable laws; (viii) be personally responsible for the contents of the parcel and its compliance with customs legislation; (ix) to enable the Carrier to contact you at the phone number specified in your profile. 8.3.2 delivery by the Logistics Company All relations regarding the provision of delivery services by the Logistics Company shall be governed by the agreement between the Shipper and the Logistics Company. The rules for the provision of these services are provided by the Logistics Company and may be indicated on the Platform.
9. Blocking accounts, restricting access and terminating obligations
You may terminate your contractual relationship with GoGoBag at any time without compensation and without giving any reason for your decision. In the event of (i) your breach of these Terms of Use, including but not limited to your obligations as a Member set forth in Clauses 6 and 8 above, (ii) exceeding the limit set forth in Clause 4.3.3 above, or (iii) if GoGoBag has a good faith belief that it is necessary to do so to protect its safety and security, or that of Members or third parties, or to prevent fraud or legal process, GoGoBag reserves the right to do so: (i) terminate the Terms of Use, which imposes obligations on you and GoGoBag immediately and without notice; and/or (ii) prevent the posting of or remove any Testimonial, Ad, message, content, Booking Request or any content posted by you on the Platform; and/or (iii) restrict your access to or use of the Platform; and/or (iv) temporarily or permanently block your Account. If necessary, you will be notified of such action taken in order to provide an explanation to GoGoBag. GoGoBag will, at its sole discretion, decide whether to reverse the action taken.
10. Personal data
When you use the Platform, GoGoBag will collect and process some of your personal data. By using the Platform and registering as a Member, you acknowledge and consent to the processing of your personal data by GoGoBag in accordance with applicable law and the terms of the Privacy Policy.
11. Intellectual property
11.1. Content published by GoGoBag Subject to the content provided by Members, GoGoBag is the sole owner of all intellectual property rights related to the Services, the Platform, its content (including messages, images, designs, logos, videos, sound recordings, data and graphics) and the software and databases that enable them to function. GoGoBag grants you a non-exclusive, personal and non-transferable right to use the Platform and the Services, for your personal and private use, on a non-commercial basis and in accordance with the purposes of the Platform and the Services. Any other use or exploitation of the Platform or the Services, their content, is prohibited without the prior written permission of GoGoBag. In particular, it is prohibited to: (i) reproduce, modify, adapt, distribute, publicly display and distribute the Platform, Services and content, except as expressly authorized by GoGoBag; (ii) decompile and reverse engineer the Platform or Services, subject to the exceptions set forth herein; (iii) removing or attempting to remove (in particular, using data mining robots or other similar data collection tools) a substantial part of the Platform data. 11.2. Content posted by you on the Platform In order to provide the Services, and in accordance with the purposes of the Platform, you grant GoGoBag a non-exclusive license to use the content and data provided by you during your use of the Services (hereinafter referred to as "Member Content"). In order to enable GoGoBag to distribute through the digital network and any data exchange protocols (including the Internet and mobile network), and to provide public access to the content of the Platform, you grant GoGoBag the right to reproduce, present, adapt and translate your Member Content throughout the world and during the term of the contractual relationship with GoGoBag as described below: (i) you grant GoGoBag the right to reproduce all or part of your Member Content in any digital recording medium, now known or hereafter invented, and in particular on any servers, hard drives, memory cards, or any equivalent media, in any format and with any processing, now known or hereafter invented, to the extent necessary for any storage, backup, transmission or download operation related to the operation of the Platform and the provision of the Services; (ii) you grant GoGoBag the right to adapt and translate your Member Content, and to reproduce these adaptations as provided in paragraph (i) above, for the purpose of providing the Services, in particular in different languages. This right includes, but is not limited to, the ability to make formatting changes to your Member Content without infringing your moral rights in order to comply with the accepted graphic design rules of the Platform and/or to make it technically compatible with viewing it through the Platform when published.
12. The role of GoGoBag
The Platform is an online networking platform on which Participants can create and post Ads for Trips for the purpose of parcel delivery. These Ads may, in particular, be viewed by other Members to find out the terms of the Trip and, if possible, to directly book a seat in the vehicle referred to in the Ad posted by the Member on the Platform or to obtain contact information about the Logistics Company for the delivery of the parcel. By using the Platform and accepting these Terms of Use, you acknowledge that GoGoBag is not a party to any agreement entered into between you and other Members for the purpose of sharing the costs associated with the Trip or any agreement between you and the Logistics Company regarding the provision of delivery services. GoGoBag is not a transaction organizer, intermediary, agent or representative of any Member or Logistics Company in relation to the proposed / concluded transaction on the Platform. All transactions carried out through the placement of an Ad on the Platform are concluded and executed without the direct or indirect participation of GoGoBag. GoGoBag does not control the behavior of Members and other users of the Platform. It does not own, use, provide or operate the vehicles of the subjects of the Ads, nor does it offer any Rides on the Platform. GoGoBag is not a Logistics Company. You acknowledge and accept that GoGoBag has no control over the accuracy, truthfulness or legality of the Ads, the offered Places or the Trips. GoGoBag, as an intermediary for the sharing of a vehicle whereby Carriers may, at their own risk, post offers to an unlimited number of persons for a Trip, Logistics Companies may, at their own risk, post offers to an unlimited number of persons for delivery services, and Senders may accept, at their own discretion and risk, such offers, does not provide any transportation services and does not act as a carrier; GoGoBag's role is limited to providing access to the Platform. Participants (Carriers, Senders, Recipients) are fully responsible for their actions. In an exceptional case, if the Trip Participants (Carrier and Sender) are verified persons (provided all the necessary personal data, including their identification documents and passed video verification), GoGoBag may, at its sole discretion, reimburse the estimated cost of the sent parcel (but not more than the actual cost of the shipment, and in any case not more than 1 (one) minimum wage in Ukraine as of January 1 of the current year) that is damaged or lost during the delivery process for any reason. This provision is the exclusive right of GoGoBag and is not an obligation. In the event of any dispute regarding the damage or loss of the Parcel, the estimated value must be confirmed by the Sender with the relevant documents for the items that were in the parcel and were damaged or lost during transportation (checks, invoices, invoices, etc.). GoGoBag has the right to request from the Sender any other additional supporting documents for the estimated value of the parcel. In the event of any dispute regarding the damage or loss of the documents contained in the Parcel, the amount of compensation to which the Sender may claim shall be calculated on the basis of the cost of producing such documents at current prices in Ukraine and in any case may not exceed 0.5 (zero point five) of the minimum wage in Ukraine as of January 1 of the current year for all documents contained in the Parcel (damaged or lost). GoGoBag has the right to request from the Sender any other additional supporting documents for the estimated value of the documents in the Parcel. A complaint about damage to the parcel can be considered only if it is visually damaged during transportation. Complaints about other causes of damage will not be accepted and considered. Acting as an intermediary, GoGoBag cannot be held liable for the Trip, and in particular for: (i) erroneous information provided by the Carrier in its Announcement or by any other means regarding the Trip and its conditions; (ii) cancellation or change of the Trip by the Participant; (iii) non-payment of the Cost Contribution by the Sender in the context of a Trip without a Booking; (iv) the behavior of its Participants during, before and after the Trip; (v) loss or damage to the parcel, or any other problems that may arise at various stages of delivery, including at the customs border.
13. Робота, доступність та функціональні можливості Платформи
GoGoBag will endeavor, to the extent possible, to maintain the availability of the Platform 7 days a week and 24 hours a day. However, access to the Platform may be temporarily suspended, without notice, due to maintenance, relocation or upgrade operations or due to network failures or restrictions, security considerations, or other limitations. Furthermore, GoGoBag reserves the right to modify or discontinue access to the Platform or its functionality in whole or in part at its sole discretion, temporarily or permanently.
14. Changing the Terms of Use
These Terms of Use and the documents incorporated by reference constitute the entire agreement between you and GoGoBag with respect to your use of the Services. Any other documents, including any references on the Platform (FAQs, etc.), are for guidance only. GoGoBag may change these Terms of Use in order to adapt them to the technological and commercial conditions of GoGoBag's operation and to comply with applicable law. Any changes to these Terms of Use will be published on the Platform with an indication of the date of their entry into force without prior notice, and therefore the use of the Platform and the Service is offered in the as is mode, i.e. in the form and scope as provided by GoGoBag on the date you access the offered Services. By placing your ads, booking your Seats and continuing to use the Platform after the amended Terms of Use come into force, you accept the changes and undertake to comply with them.
15. Law applicable to dispute resolution
These Terms of Use are written in Ukrainian and governed by the laws of Ukraine. Any disputes that may arise in connection with these Terms of Use will be resolved by a competent court.
